Terms of Service
These Terms govern your access to and use of Ezi GBP Access. By creating an account, claiming a trial, purchasing a subscription, or using the service, you agree to these Terms.

1. Agreement and operator
These Terms of Service (“Terms”) are an agreement between you and EZI BUSINESS TECHNOLOGIES LLC, a Wyoming limited liability company, doing business as Ezi GBP Access (“Ezi,” “we,” “us,” or “our”). If you use Ezi for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You must be at least 18 years old and legally capable of entering into a binding agreement to use Ezi. Ezi is intended for business use.
2. The service
Ezi provides tools for agencies to create access-request links, connect supported provider accounts, invite team members, receive client-selected business information, initiate access requests, and track request status. Features may vary by plan, integration, location, and provider availability.
Ezi currently supports Google Business Profile, Google Tag Manager, Google Analytics, and Google Ads workflows. Meta Ads remains gated while required provider reviews are pending. An agency can connect a receiving provider account, and a client can authorize access, select eligible resources, and direct Ezi to request the configured access level. For Business Profile, a “completed” request means Ezi created an invitation or Google reported an invitation already pending; it does not guarantee that Google or the receiving agency has accepted or finalized access. Tag Manager and Analytics access may be granted directly when Google confirms the permission change. Google Ads access may require the client to accept a Manager-account link inside Google Ads before access is finalized.
Ezi is an independent service and is not endorsed by, sponsored by, or affiliated with Google, Stripe, or any other third-party provider.
3. Accounts and workspaces
- You must provide accurate information and keep it current.
- You are responsible for account credentials, workspace members, assigned roles, public links, and all activity performed through your account.
- You must promptly notify us if you suspect unauthorized access or a security incident.
- Workspace owners control billing and other owner-restricted settings. You are responsible for ensuring that each person is given an appropriate role.
You may not share credentials between individuals or attempt to access another organization's workspace, requests, or data without authorization.
4. Agency and client responsibilities
Agencies are responsible for obtaining any authorization, consent, or contractual right required to request access to a client's accounts or locations. You may send a request link only to a person you reasonably believe is authorized to act for the relevant business.
Clients choose whether to authorize a provider connection and which available resources to share. You may not misrepresent the purpose, recipient, access level, or effect of a request. Ezi does not determine whether an agency-client relationship is valid and is not responsible for disputes between agencies, clients, workspace members, or provider account owners.
5. Acceptable use
You must not use Ezi to:
- violate law, third-party rights, or provider terms and policies;
- request or obtain access without appropriate authorization;
- send spam, deceptive requests, phishing messages, or malicious content;
- probe, bypass, disrupt, or compromise Ezi's security or usage controls;
- reverse engineer or copy the service except where applicable law permits it;
- resell, sublicense, or provide Ezi as a service bureau without written permission;
- upload malware or use automated means that create unreasonable load or interfere with other users; or
- use Google user data for advertising, surveillance, sale, or another prohibited use.
We may investigate suspected misuse and suspend or restrict access where reasonably necessary to protect Ezi, users, providers, or third parties.
6. Trials, subscriptions, and billing
Eligible agency owners may claim one seven-day trial per agency. The trial begins only when the owner selects “Claim 7-day free trial.” A payment method is not required to claim the app-managed trial, and the trial does not automatically become paid unless you separately complete subscription checkout.
The current paid plan is displayed before checkout and is billed monthly in advance through Stripe. By subscribing, you authorize recurring charges to your selected payment method until cancellation. Applicable taxes may be added. Promotions apply only under their stated terms.
If you subscribe during an active trial, billing may be scheduled to begin when the trial ends where Stripe's scheduling rules permit. Otherwise, the billing date shown at checkout controls. Your dashboard and Stripe checkout provide the authoritative price, renewal date, and billing details for your purchase.
We may change plan prices or limits prospectively. We will provide notice before a change affects an existing paid subscription when required by law. Continued use after the effective date constitutes acceptance of the updated commercial terms.
7. Cancellation and refunds
Workspace owners can cancel through the “Manage billing” link in the Subscription page, which opens Stripe's billing portal. Unless the billing portal states otherwise, cancellation takes effect at the end of the current paid billing period. You retain paid access until that date and will not be charged for a later period.
Subscription fees are non-refundable and we do not provide prorated credits for a partially used billing period, except where required by law or where we determine that a refund is appropriate. Cancel before the displayed renewal date to avoid the next charge. If you believe a charge was made in error, contact us promptly at support@ezi-business.com.
8. Usage limits and service changes
Plans may include request, resource, security, or fair-use limits shown in the product. When a limit is reached, new activity may be paused until the applicable period resets. Existing records may remain available subject to your entitlement and these Terms.
We may add, modify, deprecate, or discontinue features. We will use reasonable efforts to provide notice when a material change substantially reduces paid functionality, but urgent security, legal, or provider changes may take effect immediately.
9. Third-party services
Ezi depends on services provided by Google, Meta, Stripe, Supabase, Resend, Lovable, Cloudflare, and others. Your use of those services may be subject to separate terms. We do not control their availability, review decisions, APIs, account restrictions, or policy changes.
You authorize Ezi to send provider requests and take the actions you select. Provider authorization may be revoked through Ezi where available or directly through the provider. Provider outages, permission changes, pending invitations, and account eligibility may delay or prevent completion.
10. Your content and data
As between you and Ezi, you retain ownership of information, branding, and content you submit. You grant Ezi a limited, non-exclusive license to host, process, transmit, and display that content only as needed to provide, secure, and support the service.
You represent that you have the rights needed to submit the content and direct the processing you request. Our handling of personal information and Google user data is described in the Privacy Policy.
11. Ezi intellectual property
Ezi and its software, design, branding, documentation, and other service materials are owned by us or our licensors and are protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable right to use Ezi during your authorized access. No other rights are granted.
If you provide feedback, you grant us the right to use it without restriction or payment, provided we do not identify you publicly without permission.
12. Suspension and termination
You may stop using Ezi at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, create security or legal risk, misuse provider access, or if continuing the service becomes unlawful or infeasible. Where practical, we will give notice and an opportunity to cure.
After termination, your right to use Ezi ends. Provisions that by their nature should survive will remain in effect, including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute terms. Data handling after termination is governed by our Privacy Policy and applicable law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZI IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT EZI WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT A PROVIDER WILL APPROVE, DELIVER, OR ACCEPT AN ACCESS REQUEST.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO EZI OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EZI DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, BUT DO NOT APPLY WHERE LIABILITY CANNOT BE LIMITED BY LAW.
15. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Ezi and its affiliates, officers, employees, contractors, and suppliers from claims, losses, liabilities, and reasonable costs arising from your content, your agency-client relationship, your violation of these Terms, your misuse of Ezi, or your violation of law or third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Before filing a claim, each party agrees to give the other written notice and attempt in good faith to resolve the dispute informally for at least 30 days.
Any dispute not resolved informally will be brought exclusively in the state courts located in Natrona County, Wyoming, or the applicable federal court in Wyoming, and each party consents to personal jurisdiction and venue there. Applicable consumer-protection rights that cannot be waived remain unaffected.
17. General terms
These Terms and the Privacy Policy are the entire agreement regarding Ezi unless we sign a separate written agreement with you. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law. Headings are for convenience only.
18. Changes and contact
We may update these Terms. We will post the revised version and update the effective date. If a change is material, we will provide additional notice where reasonably practicable or legally required. Continued use after the updated Terms take effect means you accept them.
